Lorine Meylan advises national and multinational companies – ranging from start-ups and independent entrepreneurs to SMEs and large companies – and private investors on all aspects of business law, corporate law, employment law and intellectual property.With extensive in-house legal experience, frequently working on secondments, Lorine Meylan has developed comprehensive practical knowledge of a company’s inner workings as well as strategic management of projects and litigation. Lorine Meylan also practices in a broad range of business law sectors, from transaction negotiations to financing and M&A transactions.

MERGERS & ACQUISITIONS

  • Drafting, negotiating and implementing transaction documentation for share and asset sales and purchases (including term sheets, share and asset sale agreements, investment contracts, joint ventures, shareholders' agreements, outsourcing, etc.), mergers and acquisitions, private equity and venture capital transactions.
  • Assistance in setting up, managing and carrying out legal due diligence and drawing up due diligence reports
  • Assisting in the preparation and management of closings and any reporting obligations
  • Drafting, negotiating and implementing contract documentation for financing transactions, including granting securities and guarantees, and corporate finance

INTELLECTUAL PROPERTY

  • Advice on managing, protecting and exploiting intellectual property rights in Switzerland and abroad
  • Advising on trademark law, copyrights and neighbouring rights 
  • Advising authors, artists (including their successors in title), producers and directors on the management, protection and exploitation of copyrights and related rights in Switzerland and abroad
  • Advice on the protection of know-how and trade secrets
  • Drafting and negotiating contracts relating to intellectual property, R&D (innovation) and technology transfer
  • Setting up structures for holding intellectual property rights and joint ventures
  • Working with copyright and neighbouring rights collective management organisations
  • Advice on sponsorships and protection of image rights
